Agreement to terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and HD² Labs LLC ("Apex CallWorks," "we," "us," or "our"), a Texas limited liability company. By accessing or using the Apex CallWorks website at apexcallworks.com, taking our revenue leak audit, booking a call, or using any services provided by Apex CallWorks, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

Our services

Apex CallWorks provides AI-powered call answering and lead recovery services to roofing businesses, primarily in Texas. Our platform includes:

• AI receptionist services that answer incoming calls on behalf of our roofing-business customers
• Automated SMS messaging and follow-up sequences to recover unsold estimates
• Analytics dashboards and reporting tools for our business customers
• Revenue leak audits and related diagnostic tools for prospective customers

Who these terms apply to

Direct users: If you visit our website, use our audit tool, contact us, or otherwise interact with Apex CallWorks directly, these Terms apply to you.

Roofing business customers: If you enter into a Master Services Agreement (MSA) with us, the MSA governs your use of our paid services and supersedes any conflicting terms in these Terms of Service. These Terms still apply to your use of our website and non-MSA interactions.

Homeowners and leads: If you call or are texted by a roofing business using Apex CallWorks, your relationship is with that roofing business. These Terms do not create a contractual relationship between us and you, but you agree to the sections below regarding acceptable use of our AI and SMS services.

Acceptable use

You agree not to use Apex CallWorks to:

• Violate any applicable law, regulation, or third-party right
• Send unsolicited or unauthorized marketing communications
• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems or networks
• Use our AI or SMS services to impersonate another person or entity
• Harvest or collect personal data about other users without their consent

Roofing business customers are responsible for ensuring their use of our platform complies with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and state telemarketing laws.

SMS and communications compliance

Apex CallWorks provides SMS messaging capabilities on behalf of our roofing-business customers. By using our platform or by providing your phone number to a roofing business that uses Apex CallWorks, you acknowledge that:

• Message frequency may vary based on the service configuration chosen by the roofing business
• Message and data rates may apply depending on your carrier
• You may opt out at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to any message

Our roofing-business customers warrant that they have obtained all necessary consent from recipients before initiating SMS communications through our platform.

AI disclosure and limitations

Apex CallWorks uses artificial intelligence to power call answering and conversational features. By interacting with our AI systems, you acknowledge that:

• The AI receptionist is not a human and may not understand every request perfectly
• The AI may occasionally misroute calls, mishear specific terms, or fail to capture every detail accurately
• The AI is not a substitute for emergency services — in a life-threatening emergency, dial 911
• Our roofing-business customers retain full responsibility for service quality and final business decisions

Intellectual property

All content on the Apex CallWorks website, including text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of HD² Labs LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our materials without our prior written consent.

User content and feedback

If you provide feedback, suggestions, or other content to us, you grant HD² Labs LLC a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media.

Disclaimer of warranties

Apex CallWorks services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, HD² Labs LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

Limitation of liability

To the fullest extent permitted by applicable law, in no event will HD² Labs LLC, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind arising out of or in connection with your use of or inability to use our services, including any direct, indirect, special, incidental, consequential, or punitive damages.

Our total liability to you for all claims arising from or relating to these Terms or our services will not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100 if you have not paid us anything.

Indemnification

You agree to defend, indemnify, and hold harmless HD² Labs LLC and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will cease immediately.

Governing law and jurisdiction

These Terms and any dispute arising out of or relating to them will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Travis County, Texas. You consent to the personal jurisdiction and venue of these courts.

Changes to these terms

We may revise these Terms from time to time at our sole discretion. We will post the updated Terms on this page and update the "Last updated" date. Material changes will be communicated via email to known users. Your continued use of our services after any changes constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy and any Master Services Agreement you enter into with us, constitute the entire agreement between you and HD² Labs LLC regarding our services.
